Capital Markets & Public M&A Associate Real Estate Focus Boston

Intro

Our AmLaw 100 client is expanding its Boston public company practice. This role centers on equity and debt offerings, securities disclosure, and public M&A in the real estate sector. The platform is nationally ranked with a deep REIT bench and a steady stream of headline transactions.

Role Summary
• Advise public companies and REITs on registered and unregistered offerings, including IPOs, follow-ons, ATM programs, convertibles, and investment-grade debt
• Counsel on '33/'34 Act disclosure, proxy statements, corporate governance, and stock exchange compliance
• Execute public M&A and strategic transactions in the real estate sector, including tender and exchange offers and related shareholder communications
• Coordinate cross-office teams on complex capital markets and M&A timelines, from diligence through closing and post-closing integration

Candidate Profile
• 3-6 years of experience at a nationally recognized firm handling equity and debt capital markets and public company counseling; public M&A exposure required
• REIT experience helpful but not required
• Strong drafting on offering documents, registration statements, and periodic reports; comfort running workstreams and interacting with bankers and in-house counsel
• Mass Bar in good standing or eligibility to waive in promptly
